Scope and contractual partners<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(1) These General Terms and Conditions (GTC) apply to all business relationships between Kay\u0130mEx Ltd. \u015eti. (hereinafter \u201cSeller\u201d or \u201cwe\u201d), Germir Mah. 423 soks. No: 30 D: 14, 38165 Melikgazi \/ Kayseri \u2013 Turkey, MERS\u0130S No.: 0538071547100001, and our customers (hereinafter \u201cBuyer\u201d or \u201cCustomer\u201d).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2) These General Terms and Conditions apply exclusively to business enterprises, legal entities under public law, or special funds under public law (B2B). Conflicting, deviating, or supplementary general terms and conditions of the buyer shall not become part of the contract unless their validity is expressly agreed to in writing.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>2. Conclusion of contract<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(1) Offers from the seller are subject to change and non-binding unless they are expressly marked as binding or contain a specific binding period.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2) A contract is only concluded through an order confirmation (or order confirmation in text form via email) by the seller or through the execution of the delivery.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>3. Subject of the contract \/ technical changes<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(1) The subject of the contract are the metal components, furniture parts, table frames, fittings, profiles and related products sold by the seller.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2) We reserve the right to make technical changes, improvements and minor deviations in color, dimensions or weight within reason, provided they do not significantly impair the functionality of the goods.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>4. Prices and payment terms<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(1) Unless otherwise agreed, our prices are ex works (EXW Kayseri, Incoterms in the current version) plus the applicable statutory taxes, customs duties and transport costs.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2) Invoices must be paid by bank transfer to the seller's specified account within the deadlines and conditions specified in the order confirmation (e.g. advance payment, letter of credit or agreed payment deadline). Payments are made free of charge for the seller in the agreed currency (standard: EUR or USD) to the bank account specified in the invoice.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(3) If the buyer defaults on payment, the seller is entitled to charge default interest at the statutory rate. The right to assert further damages due to delay remains reserved.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>5. Delivery, transfer of risk and delivery time<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(1) Deliveries are made in accordance with the agreed Incoterms (standard EXW \u2013 Ex Works Kayseri, T\u00fcrkiye), unless otherwise agreed in writing.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2) The risk of accidental loss and accidental deterioration of the goods passes to the buyer at the latest upon handover to the freight forwarder, the freight carrier or the person otherwise designated to carry out the action.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(3) Delivery times and dates are only binding if they have been expressly confirmed as binding by the seller. Force majeure, operational disruptions, strikes, lockouts or unforeseen material procurement problems release the seller from complying with delivery deadlines for the duration of the disruption.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>6. Retention of title<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(1) The delivered goods remain the property of the seller until all claims arising from the business relationship with the buyer have been settled in full.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2) The buyer is entitled to resell the reserved goods in the normal course of business.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>7. Liability for defects (warranty)<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(1) Obvious defects must be reported in writing by the buyer immediately after receipt of the goods, at the latest within 7 working days after delivery. Hidden defects must be reported immediately after they are discovered. If the complaint is not made in a timely manner, the goods are deemed to have been approved.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2) In the case of legitimate defects, the seller is entitled, at its own discretion, to subsequent performance in the form of elimination of the defect or to delivery of an item free of defects (replacement delivery).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>8. Limitation of Liability<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(1) The seller is liable for damage that did not occur to the goods themselves - regardless of the legal reasons - only in the event of intent, gross negligence on the part of corporate bodies or senior management, culpable injury to life, body or health and in the event of defects that were fraudulently concealed.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2) Further claims for damages are excluded<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>9. Place of performance, place of jurisdiction and applicable law<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(1) The place of fulfillment for all obligations arising from the contractual relationship is the seller's headquarters in Kayseri, T\u00fcrkiye.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2) The law of the Republic of Turkey applies to these General Terms and Conditions and all legal relationships between the seller and the buyer, excluding the UN Convention on Contracts for the International Sale of Goods (CISG), unless mandatory international consumer protection regulations apply (since this is purely B2B business).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(3) The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is the competent court in Kayseri, T\u00fcrkiye.
